Scope of Work: Social & More will provide the services agreed upon in the initial consultation, including but not limited to, branding, digital marketing, social media management, content creation, SEO, PPC advertising, and email marketing.
Client Responsibilities: The client agrees to provide all necessary information and materials needed for the agency to carry out its work. This includes but is not limited to, brand guidelines, access to social media accounts, website login details, and any necessary content.
Fees and Payments: The client agrees to pay the fees for services rendered as agreed upon in the initial consultation. Subscription payments charged automatically for the service package purchased on agency website. In case of invoice payments, the payment is due within 14 days of invoice date. Late payments may be subject to interest and late fees.
Intellectual Property: The client retains all ownership of their intellectual property. The agency retains ownership of all intellectual property related to the services provided, including but not limited to, marketing strategies, campaigns, and designs.
Confidentiality: Both parties agree to keep confidential any sensitive or proprietary information shared during the course of the engagement.
Termination: Either party may terminate the engagement at any time for any reason upon written notice. In the event of termination, the client agrees to pay for all services rendered up to the date of termination.
Liability: The agency shall not be liable for any indirect, special, or consequential damages arising out of the services provided. The maximum liability for any claim shall not exceed the fees paid by the client for the services provided.
Governing Law: This agreement shall be governed by and construed in accordance with the laws of England and Wales.
Communication: The agency will provide regular updates and progress reports to the client throughout the course of the engagement. The client agrees to promptly respond to all communication from the agency in a timely and professional manner.
Changes and Revisions: The client may request changes or revisions to the services provided by the agency. Any changes or revisions must be agreed upon in writing and may result in additional fees and/or timeline adjustments.
Confidentiality and Non-Disclosure: Both parties agree to maintain the confidentiality and non-disclosure of all information related to the engagement, including but not limited to trade secrets, proprietary information, and sensitive business information. The client agrees to refrain from sharing any confidential information with third parties without the express written consent of the agency.
Indemnification: The client agrees to indemnify, defend, and hold the agency and its employees, agents, and contractors harmless from any claims, damages, or expenses arising out of or in connection with the engagement, including but not limited to claims for copyright infringement, breach of confidentiality, or violation of intellectual property rights.
Force Majeure: The agency shall not be liable for any delays or non-performance caused by circumstances beyond their control, including but not limited to acts of God, natural disasters, war, terrorism, or government action.
Dispute Resolution: Any disputes arising out of or in connection with this agreement shall be resolved through arbitration in accordance with the rules of the Chartered Institute of Arbitrators. The arbitration award shall be final and binding.
Entire Agreement: This agreement constitutes the entire agreement between the client and the agency and supersedes all prior or contemporaneous understandings, agreements, or communications, whether oral or written.
Amendments: Any amendments or modifications to this agreement must be made in writing and signed by both parties.
Severability: If any provision of this agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
By engaging our marketing agency, the client acknowledges that they have read, understood, and agreed to these additional terms and conditions. Our marketing agency is committed to providing high-quality services to our clients while adhering to industry best practices and ethical standards.
